Welcome to eathri. These Terms of Service ("Terms") govern your use of eathri.com (the "Site") and any services, consulting, custom development, support or related work ("Services") provided by eathri, Inc. ("eathri", "we", "us"). By using the Site or engaging our Services, you agree to these Terms.
eathri, Inc. is a Delaware corporation, registered in Wilmington, Delaware, USA. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. The Site and Services are intended for professional use; if you are a consumer, additional consumer protection laws of your jurisdiction may apply.
eathri provides AI/ML consulting, custom software development, model deployment, managed MLOps, and related technical services as described on the Site and in individual Statements of Work ("SOW"). Each engagement is governed by these Terms plus the applicable SOW. In case of conflict, the SOW prevails for that engagement only.
You must be 18 or older (or the age of digital consent in your jurisdiction) to use the Site. To access the client portal, you must create an account with accurate information and keep your credentials secure. You are responsible for activity on your account.
Client IP. All custom code, prompts, fine-tuned model weights, datasets and documentation we produce specifically for you under an SOW are assigned to you on full payment, except for eathri's pre-existing frameworks and tooling (see below).
eathri IP. eathri retains all rights to its pre-existing frameworks, libraries, evaluation harnesses, internal tools and methodologies. We grant you a non-exclusive, perpetual, royalty-free license to use these as embedded in your deliverables.
Feedback. You grant us a non-exclusive license to use feedback, suggestions and ideas you provide for the purpose of improving our Services.
Each party will protect the other's Confidential Information with the same standard of care it uses for its own (and no less than reasonable care), and will use it only to perform under these Terms or the applicable SOW. This obligation survives termination for 3 years. Trade secrets remain protected for as long as they qualify as such.
Our deliverables may incorporate open-source software governed by their own licenses (Apache 2.0, MIT, BSD, etc.) and third-party services (cloud providers, model APIs). You agree to comply with applicable third-party terms.
eathri warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, AI/ML SERVICES ARE PROVIDED "AS IS". Due to the probabilistic nature of machine learning, we do not warrant that any AI system will achieve specific accuracy, performance or business outcomes. Outputs may contain errors; you are responsible for reviewing and validating them before production use.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SOW WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO EATHRI UNDER THE APPLICABLE SOW IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR REVENUE.
You will defend and indemnify eathri against any third-party claim arising from (a) your use of the deliverables in violation of these Terms or applicable law, or (b) any data you provide that infringes third-party rights.
These Terms remain in effect while you use the Site or have an active SOW. Either party may terminate an SOW for material breach with 30 days' written notice if the breach is not cured. We may suspend your account for non-payment, security reasons or violation of these Terms.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via the Site or by email. Continued use after the effective date constitutes acceptance.
